These Terms of Service (“Terms”) govern your access to and use of Wally OS (“Wally OS,” “we,” “us,” or “our”), including our website at wallyos.com, our applications, and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Wally OS is an AI assistant for home-service businesses. It can help you manage your operations and, when you choose to connect them, interact with third-party services such as your Google Business Profile, Google Calendar, and Google Ads accounts on your behalf.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide and for all activity under your account. Keep your credentials secure and notify us promptly of any unauthorized use.
3. Connected third-party services
The Service lets you connect third-party accounts. When you connect a service, you authorize Wally OS to access and act on that account on your behalf, within the permissions you grant. Your use of any third-party service remains subject to that provider’s own terms and policies, and you are responsible for complying with them. We are not responsible for third-party services, and you can revoke access at any time as described in our Privacy Policy.
Wally OS’s use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements, as detailed in our Privacy Policy.
4. AI-generated content and your responsibility
The Service uses artificial intelligence to generate content and to take actions you request, including actions on connected accounts. AI output may be inaccurate or incomplete. You are responsible for reviewing actions and content before they are published or sent, and for ensuring they are appropriate for your business. For actions that affect connected accounts or spending — such as publishing posts, replying to reviews, or changing ad budgets — you remain responsible for the outcome.
5. Acceptable use
You agree not to:
- Use the Service in violation of any law or third-party rights;
- Access accounts or data you are not authorized to access, or misrepresent your authority to act on an account;
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems;
- Use the Service to generate or distribute spam, fraudulent, abusive, or unlawful content; or
- Reverse engineer or misuse the Service except as permitted by law.
6. Your content
You retain ownership of the content and data you provide or that we access on your behalf. You grant us a limited license to use, host, and process that content solely to operate and provide the Service to you. You represent that you have the rights necessary to provide that content and to authorize the actions you ask Wally to take.
7. Fees
If any part of the Service is offered for a fee, the applicable pricing and payment terms will be presented to you before you incur charges. We may change fees on prospective notice.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by Wally OS and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
10. Limitation of liability
To the maximum extent permitted by law, Wally OS and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars (US$100).
11. Indemnification
You agree to indemnify and hold harmless Wally OS and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or any third-party rights.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Upon termination, the provisions that by their nature should survive will continue to apply.
13. Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date and provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the United States and the state in which Wally OS is established, without regard to conflict-of- laws principles. Disputes will be resolved in the courts located there, unless otherwise required by applicable law.
